Terms of Service

These Terms of Service ("Terms") govern your use of the Copia software application and website operated by Copia Software LLC ("Copia," "we," "us," or "our"). By installing the Copia app or using our services you agree to these Terms.

1. About Copia

Copia is a CSA membership management application built for Shopify merchants. Copia Software LLC is a California limited liability company based in San Diego, California. Contact us at [email protected].

2. Eligibility

You must be at least 18 years old and have a valid Shopify account to use Copia. By agreeing to these Terms you represent that you meet these requirements. Copia is intended for use by farm operators and agricultural businesses.

3. Your Shopify account

Copia operates as a Shopify Partner application. Your use of Copia requires an active Shopify subscription. You are responsible for your Shopify account, including maintaining your subscription and complying with Shopify's terms of service. Copia is not responsible for changes Shopify makes to its platform, pricing, or terms.

4. Subscription and billing

Subscription plans: Copia offers several subscription tiers billed monthly through Shopify's Billing API. Current pricing is available at copia.farm/pricing.

Founding farm rate: Farms accepted into the Founding Farm program receive a locked base rate as described at the time of acceptance. This locked base rate applies to the monthly subscription fee only. Member overage charges above the included member threshold apply at the stated rate and may be updated with 60 days notice.

Overages: If your active member count exceeds the members included in your plan, overage charges apply at the per-member rate for your tier. Overages are calculated monthly based on your highest active member count during the billing period.

Free trial: New subscriptions may include a free trial period as stated at the time of signup. If you do not cancel before the trial ends your subscription will begin and you will be charged through Shopify.

Cancellation: You may cancel your Copia subscription at any time from your Shopify admin. Cancellation takes effect at the end of your current billing period. We do not offer refunds for partial billing periods.

Refunds: All fees are non-refundable except as required by law or as we determine at our sole discretion.

5. Your data

You own your data. Farm data you create in Copia — seasons, share types, harvest plans, pickup locations — belongs to you. Member data lives in your Shopify store and belongs to you. Copia does not claim ownership of your data.

Data export: You may request an export of your Copia data at any time by emailing [email protected]. We will provide your data within 30 days.

Data on cancellation: If you cancel your subscription we retain your data for 90 days to allow for reactivation. After 90 days we delete your farm data from our systems. Your members' data remains in your Shopify store and is unaffected by your Copia subscription status.

6. Acceptable use

You agree not to use Copia to:

  • Violate any applicable law or regulation
  • Transmit spam or unsolicited communications to your members
  • Misrepresent your identity or your farm's products
  • Attempt to gain unauthorized access to Copia's systems or another user's account
  • Reverse engineer, decompile, or disassemble any part of the Copia software
  • Use Copia in any way that damages, disables, or impairs our services

7. Intellectual property

Copia and all related software, design, trademarks, and content are owned by Copia Software LLC. These Terms do not grant you any rights to our intellectual property except the limited right to use Copia as described in these Terms.

You retain ownership of all content and data you upload or create through Copia.

8. Third party services

Copia integrates with third-party services including Shopify, Railway, Supabase, and Resend. Your use of these services is governed by their respective terms of service. Copia is not responsible for the availability, accuracy, or conduct of any third-party service.

9. Service availability

We aim to keep Copia available and reliable but we do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications that temporarily affect availability. We will provide advance notice of planned downtime where possible.

We reserve the right to suspend or terminate your access to Copia if you violate these Terms or if we believe your use poses a risk to other users or our systems.

10. Disclaimer of warranties

Copia is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that Copia will be error-free, uninterrupted, or free of harmful components. We do not warrant that Copia will meet your specific requirements.

Your use of Copia is at your own risk.

11. Limitation of liability

To the fullest extent permitted by applicable law, Copia Software LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use Copia, including but not limited to lost profits, lost data, or business interruption.

Our total liability to you for any claim arising from these Terms or your use of Copia will not exceed the amount you paid to Copia in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Copia Software LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of Copia, your violation of these Terms, or your violation of any third party's rights.

13. Governing law

These Terms are governed by the laws of the State of California without regard to its conflict of law provisions. Any disputes arising from these Terms will be resolved in the courts of San Diego County, California.

14. Changes to these terms

We may update these Terms from time to time. We will notify active Copia customers of material changes by email at least 14 days before they take effect. Continued use of Copia after updated Terms take effect constitutes acceptance of the new Terms.

If you do not agree to the updated Terms you may cancel your subscription before the changes take effect.

15. Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Copia Software LLC regarding your use of our services and supersede any prior agreements.
